Documents for Private Limited Company Registration

A Private Limited Company is closely held business with limited liability of the members. The total number of members in private company shall not exceed 50. Also, a private company is not empowered to raise funds from the public.

Every entrepreneur who desires to register its business unit as the Private Limited Company is required to file the below-mentioned documents with ROC.

When Directors are Indian Nationals

The following documents are mandatory to be filed by every director if they are Indian Nationals for incorporation of the Private Limited Company in India:

  1. PAN Card- Permanent account number (PAN) is a 10 digit alphanumeric number that is issued by the Income tax department to every person who filed an application in this regard. Submitting a valid PAN card is mandatory for every director who is an Indian National.
  2. Address Proof: Along with the PAN card the proposed Director is required to file an address proof. The address proof submitted must have the name of the Director as mentioned in the PAN Card and the most current address of the Director. Further, the document must also not be older than 2 months. The following documents can be submitted as the address proof for Indian Nationals.
  • Passport
  • Election Card or Voter Identity Card
  • Ration Card
  • Driving License
  • Electricity Bill
  • Telephone Bill
  • Aadhaar Card

3. Residential Proof: To provide the proof of current address of the director a residential proof must be submitted during the incorporation of the Company. The residential proof submitted must contain the name of the Director as mentioned in the PAN Card and must not be older than two months. The following documents are acceptable residential proof:

  • Bank Statement
  • Electricity Bill
  • Telephone Bill
  • Mobile Bill

When directors are foreign nationals

The following documents are mandatory for Foreign Nationals for incorporation of the Private Limited Company in India:

  1. Passport: In case the directors of the proposed company are foreign nationals, Passport is a mandatorily required as a proof of identity. The Passport must also be Notarized in the country it was issued. If the passport issued is in the foreign language, then it must be translated by an official translator to English and notarized. In addition to this if the Passport does not contain the date of birth of the holder, then a separate document for the birth date shall be provided.
  2. Address Proof: An address proof must be filed by the proposed director. The address proof submitted must have the name of the Director as mentioned in the Passport and the most current address of the Director. The document submitted as address shall not be older than 1 year. The following documents are acceptable address proof for Foreign Nationals.
  • Driving License
  • Residence Card
  • Bank Statement
  • Government issued form of identification containing the address.
  • Residential Proof: Further a residential proof must be submitted during the incorporation of the Company to validate the current address of the Director. As applicable for address proof, the residential proof must also contain the name of the Director as mentioned in the Passport and must not be older than one year. The following documents are acceptable residential proof:
  • Bank Statement
  • Electricity Bill
  • Telephone Bill
  • Mobile Bill
  • Proof of Registered office address-During the incorporation process or within 30 days of the incorporation of company the following documents must be submitted as proof of registered office-

I. In the case of self-owned property, the sale deed shall be submitted or in the case of rented accommodation the notarized copy of lease/ rent agreement in the name of the company along with a copy of rent paid receipt not older than one month shall be submitted.

II. No objection certificate from the Landlord.

III. Evidence of any utility service like telephone, gas, electricity, etc. depicting the address of the premises in the name of the owner, which is not older than two months.
