  • Each Director appointed in the Company should have a DIN i.e., Director Identification number by MCA. The DIN application can be made through e-form SPICe+ which allows up to three Directors DIN application.
  • At least one Director as appointed must be resident of India, which implies the person has stayed in India for not less than 182 days in the previous calendar year.

The name of the Company should be unique where the proposed name should be distinct having the word ‘Private Limited Company’ at the end and not identical to any other registered name under MCA. The proposed names should be submitted on MCA while filing SPICe+ webform PART-A to check the availability and reserve the same.

Registered office address

The Company needs to register its permanent registered office address with the Registrar of the Company. The address should be a place where company’s main business activities are carried out.

Other Documents

The Pvt Ltd Company registration requires electronic submission of the documents on MCA Portal, thus digital signature certificate must be obtained by the directors and members of the Company to verify and authenticate the documents. This should be in Class III Category. Besides, professional certification (a Company secretary, Chartered Accountant, Cost Accountant) is also essential.

How to get Pvt Ltd Company Registration:

The applicant once completes the basic requirements for the Pvt Ltd Company Registration can process with the single web-based application form SPICe+ where the PART-A is for name reservation and PART-B is for incorporation of the Company as Pvt Ltd Company.

  1. Attaining the DSCs (Digital Signature Certificate)
  2. Application for the Name Reservation by using web-form SPICe+ of PART-A (the name once approved is reserved for 20 days)
  3. Filing application for DIN (Director Identification Number) using SPICe+ of PART-B which allows up to 3 directors DIN application
  4. Drafting e-MoA and e-AoA for Pvt Ltd Company Registration
  5. Application for web form SPICe+ along with other linked forms which includes the drafts of SPICe MOA, SPICe AOA, AGILE PRO, INC-9 including all relevant documents to be attached
  6. The PAN, TAN, ESIC, EPFO registration is issued while filing for the incorporation using the single web-based application form i.e., SPICe+
  7. Open a bank account in name of the Company
  8. The PDF is to be certified using the Digital Signature Certificate and submitted paying the registration cost as applicable.
  9. Once the webform is approved post scrutiny check, the certificate of incorporation is issued by ROC.
Documents required for Pvt Ltd Company Registration:
  • The Identity proof of Directors i.e., PAN Card, passport in case of foreign Director
  • Address Proof i.e., Aadhar card, Voter ID, Ration card or any other as authorised by the Government
  • Residence proof i.e., Utility bills or bank statements
  • If residential address is being used as registered office address, then the No objection certificate (NOC) from the owner.
  • Rental agreements, sale deed of property (owned property)
