MCA launches Central Registration Centre

The present governmental tenure has made and proposed tremendous efforts towards boosting the business scenario in India. From the launch of plans and initiatives like the Start-up India plan, to improving the existing policies and programs, a lot of upgrading has taken place. One existing program modified lately is the company name approval process which has now been transferred from the State offices of Registrar of Companies to a centralised name approval processing cell. After achieving success in turning the name approval process into a more proficient one, the Ministry of Corporate Affairs has now set the dice rolling for modifying the company registration process by the centralisation of processing of incorporation applications.

The new MCA21 portal on Sunday launched the shifting of the company registration processing to the Central Registration Centre. In this revolutionary step taken by the ministry, the Central Registration Centre will act as a centralised unit for attending the company registration applications. The CRC aims at turning the registration process into more efficient and rapid, along with increasing transparency of the process. In the previously existing method of incorporation, the time consumed in the process differed on the basis of states, depending on the workload of the concerned Registrar of Companies. However, the new Central Registration Centre works collectively and simultaneously for all the companies to be incorporated across India.

The Central Registration Centre will be attending the forms enlisted below:

INC-2- It is used for incorporation of a One Person Company (OPC).

INC-7- This form is used for incorporating a Private Limited Company, Section 8 Company or a Limited Company.

INC-22- This form comes to use for intimating notice of situation or change of situation of registered office. It is also used to declare the first registered office of the company at the time of incorporation.

DIR-12- This is the form which is used for the appointment of directors and other the key managerial personnel.

URC-1- This one is used by a company for registration under section 366.

With the launch of modification in the company incorporation process, a new company incorporation certificate has also been launched. The existing format of the certificate of incorporation of a company has been amended a little to suit the new procedure. This change has been performed under the Companies (Incorporation) Second Amendment Rules, 2016. The Companies (Incorporation) Second Amendment Rules, 2016 also provide information as to what should the new certificate of incorporation be like.

As per the rules, change has been brought in the name of the ROC approving the incorporation and the jurisdiction. In the previous kind of certificate of incorporation, the concerned Registrar of Companies of a particular state used to approve a company. However in the new method, the Certificate of Incorporation of a company will be issued by the Registrar of Companies of the Central Registration Centre.
